What This Page Is

This page summarises the legal framework around Starzip: what the tokens are, which agreement governs your use, who operates the platform, and which law applies. It is a plain-language summary written for orientation.

This summary is not the agreement and it is not legal advice. The binding documents are the Terms of Service and privacy notice presented to you in the product when you sign up and in the Console. Where this page and those documents differ, those documents govern.

Character of the Tokens

Store Tokens and STAR are utility tokens. They are not securities, equity, or investment contracts, and they confer no ownership, dividends, revenue share, or guaranteed returns.

  • Store Tokens are utility tokens tied to a specific business. They are a settlement instrument for loyalty and membership benefits at that store, and they can be traded on the Starzip DEX once the store confirms listing.
  • A Store Token gives no equity in the business, no claim on its revenue or assets, no dividend, and no vote on how the business is run.
  • STAR is the platform utility token. It is used for platform-level functions and, after the token generation event, for protocol governance.
  • Star Genesis NFTs are utility items. Their rewards are distributions from a fixed platform allocation, not a return on capital.
  • Starzip does not promise, project, or guarantee any price, return, or level of reward for any of the above.

Which Agreement Applies to You

Starzip separates its terms by role, because the obligations differ. You accept the one that matches how you use the platform.

If you act in more than one role, more than one agreement applies to you. The Business Terms cover matters that only issuers face, including the staged release of raised funds, the disclosure obligation attached to each release, and the fact that listing requires your own confirmation.

Privacy Notices

Starzip publishes a separate privacy notice for individual users and for business accounts, because the data collected differs. Both describe what is collected, why, how long it is kept, who processes it, and how to exercise your rights over it.

  • Marketing messages require separate, opt-in consent. It is off by default, you are told when it is switched on or off, and every marketing message carries an unsubscribe path.
  • Consent to marketing is not a condition of using Starzip. Withdrawing it does not affect your account.
  • Service notices that you need in order to use the platform, such as security alerts and transaction results, are not marketing and are sent regardless of marketing consent.

Who Operates Starzip

Starzip is operated through two entities with distinct roles.

  • A Cayman Islands foundation acts as steward of the protocol. Its role is to set standards and provide oversight. It does not take custody of user assets.
  • A Singapore operating company runs the platform day to day: the product, the reviews, and the services described in these docs.

The contracting entity for your agreement, and its registered name, are identified in the Terms of Service you accept.

Governing Law and Disputes

  • The agreements are governed by the law of the Cayman Islands.
  • Disputes are resolved by arbitration seated in George Town, Cayman Islands. The Terms of Service you accept name the arbitration body and the rules that apply.
  • Nothing here removes a right you hold under the mandatory consumer law of your own country where that law applies to you.

The challenge process that applies to an issuer's use-of-funds disclosure is a separate, protocol-level mechanism. It resolves whether a published statement is factually false. It is not a court, it is not a holder vote, and it does not create any governance right over the business.

Contract Language

English is the authoritative language of every Starzip legal document. Translations are provided for convenience only. If a translation and the English version differ, the English version governs.

Where Starzip Is Available

Starzip is not available in every country. Access is blocked for residents of, and persons located in, a number of places, including the United States, every European Union member state, and Taiwan.

Custody of Funds

  • Users hold their own wallet keys. Starzip cannot move your wallet assets and cannot restore access if you lose your keys.
  • Funds committed to a Launchpad are held in smart contract escrow during the sale period, not by Starzip. If the soft cap is not met, participants claim their refund directly from the escrow.
  • Business accounts use a passkey-secured smart account created for them. Starzip sponsors the network gas for their on-chain actions but does not hold their assets.

Changes to These Documents

  • The current versions take effect on 31 August 2026. They are not applied retroactively.
  • Material changes are notified in advance, and where a change materially affects your obligations you are asked to accept the new version before continuing.
  • Minor changes, such as clarifications that do not alter your rights or obligations, take effect on notice.
  • Each document carries a version and an effective date so you can tell which text applied when.
